Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Kovelo LLC, a California limited liability company ("Kovelo," "we," "us"). By creating an account or using kovelo.ai or related services (the "Services"), you agree to these Terms. If you do not agree, do not use the Services.

Kovelo provides access to multiple third-party AI models through a single account, available in a chat interface and through a developer API. Kovelo connects directly through each provider's official API endpoints. The Services depend on third-party providers, and features, models, and pricing may change over time.

You must provide accurate registration information and keep it current. You are responsible for safeguarding your password and API keys, and for all activity under your account. You must be of legal age to form a binding contract in your jurisdiction. Notify us promptly at support@kovelo.ai of any unauthorized use.

Paid plans and credits are billed through our payment processor (Stripe). Prices are shown at checkout in your applicable currency. Usage is metered. When plan quota is exhausted, usage may draw on your top-up balance, then a basic fallback, then stop, as described in product documentation. Free trial credit is provided once and does not renew.

Automatic Renewal Terms: If you purchase a recurring subscription, your subscription will automatically renew at the then-current price for your plan on a recurring basis (e.g., monthly or annually) unless cancelled before the renewal date. You may cancel your subscription at any time through your account dashboard settings or by contacting support@kovelo.ai. Upon cancellation, your access will continue until the end of the current paid billing cycle. No further charges will be applied after cancellation.

Except where required by law, fees and used credits are generally non-refundable. Unused subscription time is not refunded upon cancellation. If you believe you were charged in error, contact support@kovelo.ai within 30 days of the charge, and we will review the matter in good faith.

Your use of the Services is subject to the Acceptable Use Policy (Part B), which is incorporated into these Terms.

Responses are generated by third-party AI providers under their own terms. Your use of those models must also comply with the applicable provider's usage policies. Kovelo is not responsible for the content, accuracy, or availability of third-party model outputs.

Kovelo and its licensors own the Services, including software, design, and trademarks. As between you and Kovelo, you retain rights to the content you submit, subject to the licenses needed to operate the Services and route your requests to providers.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. AI OUTPUTS MAY BE INACCURATE, INCOMPLETE, OR BIASED. DO NOT RELY ON AI OUTPUTS FOR MEDICAL, CLINICAL, LEGAL, FINANCIAL, INVESTMENT, OR HIGH-RISK DECISION-MAKING. KOVELO DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOVELO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID TO KOVELO IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

You agree to indemnify and hold Kovelo harmless from claims arising out of your use of the Services, your violation of these Terms, or your violation of applicable law. Furthermore, if your violation of these Terms or third-party usage policies causes a suspension or termination of Kovelo's API access with any third-party model provider, you shall be fully liable for the resulting business losses and legal damages incurred by Kovelo.

We may suspend or terminate your access for violations of these Terms or the Acceptable Use Policy, for legal or security reasons, or for non-payment. You may stop using the Services at any time.

We may update these Terms from time to time. Material changes will be posted with a new "Last updated" date. Your continued use after changes means you accept the updated Terms.

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws rules.

Mandatory Individual Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by exclusive binding individual arbitration in California before one arbitrator, administered by JAMS or the American Arbitration Association (AAA) pursuant to its Comprehensive Arbitration Rules and Procedures.

Class Action Waiver: You and Kovelo agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
